Service Agreement
This Service Agreement ("Agreement") is entered into between Mnab Media LLC ("Agency") and the Client ("Client") as of the date signed below. This Agreement sets forth the terms and conditions under which the Agency will provide digital marketing, content creation, and associated services to the Client.
1. Scope of Services (SLA)
The Agency agrees to provide the following services as per the Client’s needs:
- Content creation (videos, graphics, copywriting, etc.)
- Social media management and digital marketing campaigns
- Analytics and performance tracking
- Ad creation and management (on platforms such as TikTok, Instagram, Facebook, etc.)
Performance Standards:
- Deliverables will meet the quality and creativity standards set by the Agency.
- Video production will maintain consistent high-quality standards in sound, resolution, and editing.
- Content will be reviewed and approved by the Client within the agreed timelines.
Support Availability:
- The Agency will be available during business hours (Monday-Friday, 9 am-5 pm) to handle queries or support requests.
Penalties for Breach of SLA:
- In the event of missed deadlines or unmet quality standards, the Client will be entitled to compensation in the form of a discount or free services.
2. Non-Disclosure Agreement (NDA)
- Confidential Information: Any business strategies, client data, financials, or proprietary processes shared will be treated as confidential.
- Obligations: Both parties will not disclose or use the confidential information for any purpose other than the services provided.
- Term: The confidentiality obligations will last for the duration of the agreement and 2 years thereafter.
3. Content Ownership Clauses
- Ownership: Upon full payment, the Client will own all content created by the Agency, including video, graphics, and text.
- Usage Rights: Mnab Media LLC reserves the right to showcase the work in portfolios and case studies unless expressly prohibited by the Client.
- Licensing: The Client has full rights to use, modify, and distribute the content as they wish after ownership is transferred.
4. Data Privacy and Security
- Data Collection: Only necessary data will be collected to execute campaigns and improve service delivery.
- Data Use: Client data will be used strictly for the purposes agreed upon and in compliance with all data protection laws, including GDPR.
- Security: The Agency will implement security measures, including encryption, to protect sensitive data.
- Breach Protocol: In the event of a data breach, the Client will be informed immediately.
5. Client Onboarding Process
- Initial Consultation: To define goals, target audience, and desired outcomes.
- Asset Submission: Logos, brand guidelines, and other required materials must be provided by the Client.
- Setup of Tools: The Agency will set up project management, analytics, and communication tools to streamline operations.
- Kickoff Meeting: A formal meeting will be held to align on timelines, expectations, and deliverables.
